How complicated is early termination of a fixed-term lease?<\/p>\n<p><\/strong><\/h3>\n<p>To begin, a small exercise \u2013 open your lease agreement for an office, shop, restaurant, or warehouse now. If, in the paragraph concerning termination of the agreement, you see a provision stating: \"Each party may terminate the agreement with three months' notice,\" and there are no specific, defined reasons listed beneath it \u2013 I have bad news for you. According to the absolute case law of the Supreme Court, this clause is most likely void (invalid). In the eyes of the law, you are stuck in this agreement for another 3 or 5 years, regardless of what you thought when signing the document.<\/p>\n<p data-start=\"678\" data-end=\"865\">Ending a fixed-term lease agreement rarely concludes with the simple sending of a single letter. In practice, it is most often a game involving significant money, as well as nerves, time, property, reputation, and negotiating power.<\/p>\n<p data-start=\"873\" data-end=\"1096\">A party that acts impulsively very often deprives itself of arguments. A party that first analyses the contract, evidence, the opponent's behaviour and the economics of the dispute \u2013 is almost always able to resolve a problematic tenancy more cheaply, faster and without legal proceedings.<\/p>\n<p data-start=\"1104\" data-end=\"1307\">This guide shows not only, <strong data-start=\"1137\" data-end=\"1193\">Can a fixed-term lease agreement be terminated<\/strong>, but above all: <strong data-start=\"1217\" data-end=\"1306\">How does a lawyer think when trying to find a safe way out of a seemingly closed situation<\/strong>.<\/p>\n<p>This is a classic situation - first the landlord and tenant agreed on something different. Now, due to various (often quite significant, but... only for one of the parties) circumstances - it is time to withdraw from the agreement. However, the possibility to terminate a fixed-term lease is usually very limited. After all, in the worst-case scenario, the tenant will be obliged to pay rent - until the end of the contract, and sometimes there are even higher damages. In turn, a landlord who wishes to terminate such a contract early may be obliged to pay any damages to the tenant - including, above all, lost profits. All this will not happen, however, if a way can be found to legally terminate the lease early. Compliant or unilateral. <strong>However, the former occurs in practice the more often the latter is possible.\u00a0<\/strong><\/p>\n<p>In practice, this means, <strong>that early termination of the lease must be considered on three levels.<\/strong><\/p>\n<p>The first level is legal: is there a rule or contract provision that allows for termination, rescission, withdrawal, assignment, or any other mechanism for ending the tenancy agreement?<\/p>\n<p>The second level is evidential: can the facts the party wishes to invoke be proven by documents, correspondence, photographs, minutes, witnesses, or the history of contract performance.<\/p>\n<p>The third level is economic: does even a legally feasible action make sense when considering remaining rent, deposit, court costs, risk of losing, duration of the dispute, lost benefits, and the possibility of reaching a settlement.<\/p>\n<p>Only the intersection of these three planes shows whether the matter is genuinely suitable for termination, or rather for negotiation, agreement, preparing an alternative tenant, or a completely different move.<\/p>\n<h3>Finding an effective way to terminate a tenancy early<\/h3>\n<p>Tenants or landlords wishing to break a fixed-term lease early are people or companies facing a big hurdle. Among the most common and biggest downsides of such a situation are high stress, paperwork, damages and contractual penalties. Worst of all, however, is the uncertainty that lasts until the very end of such a dispute - uncertainty that we guarantee is present on both sides (!).  Both tenant and landlord are unsure whether the lease can be terminated at all, how long it can be maintained, in what condition the premises will remain. And consequently - how much the exit from the conflict (for each party) will ultimately cost.<\/p>\n<p>After all, it follows from the very nature of a fixed-term lease that there is no notice period other than the remaining term of the contract. In principle, the contract remains in force until the end of the period for which it was concluded. In theory, the possibility of terminating a fixed-term contract - simply does not exist. There is no such thing as a notice period for a lease concluded for a fixed term. <span style=\"text-decoration: underline;\">However, they do exist<\/span><u> numerous exceptions to these general rules. These exceptions are described below - in an accessible question and answer format.<\/u><\/p>\n<p>When we are the party wishing to terminate a fixed-term lease agreement, it is crucial to define the reasons why this agreement must be terminated and to quantify the economic implications. Correctly defining these reasons will allow us to consider whether the costs associated with its termination will outweigh the benefits. To put it more simply: it is wise to first consider whether the game is really worth the candle.<\/p>\n<p><span style=\"font-size: 1.5em; font-weight: bold;\">Why does a DIY, amateur termination of a rental agreement often make the situation worse?<\/p>\n<p><\/span><span style=\"font-size: 16px;\">The most common mistake is for the party to first send a demand or even a termination notice, and only *then* ask a lawyer if it was effective. This is a very bad sequence of events, which in practice causes a great deal of harm.<\/span><\/p>\n<p data-start=\"3738\" data-end=\"4135\">A declaration is a statement that reveals a strategy, indicates the basis for action, shows the other party our understanding of the agreement, and often closes the door to better arguments. Therefore, in such matters, one first analyses <strong data-start=\"4192\" data-end=\"4308\">agreement, addenda, correspondence, method of lease execution, economic interest of the parties and possible reactions of the opponent<\/strong>Only later is the tool chosen: termination, demand, negotiation, agreement, assignment, withdrawal, plea of nullity, or another legal construct.<\/p>\n<h3><strong>Can a fixed-term lease agreement be terminated? What are the consequences of terminating the contract early? What to do if the contract does not contain a notice period?<\/strong><\/h3>\n<p>It may not be easy to terminate a fixed-term lease if the other party does not show a certain degree of goodwill. Therefore, it would be advisable to at least partially disengage from this goodwill, or to persuade the other party to express this goodwill, <strong>first, it is best to examine the provisions of the contract very, very carefully<\/strong>\u00a0- so as to verify whether and what contractual clauses allowing early termination of the lease are contained therein. Unfortunately, these do not have to be valid clauses, as case law on this issue is also abundant. Thus, we often think that we are entitled to terminate, and before the court such action, even if in accordance with the literal provision of the contract, is not necessarily considered to have been taken effectively and lawfully.<\/p>\n<h3>Stress and uncertainty arise when it is necessary to terminate a fixed-term lease.<br \/>\nWhat are the penalties for breaking a fixed-term lease?<\/h3>\n<p>Tenants wishing to terminate fixed-term leases are usually (and rightly) concerned about high damages and liquidated damages.<br \/>\nThese can extend far beyond the single rent or the deposit or security deposit paid to the landlord. On more than one occasion, we have seen tenants end up having to pay damages amounting to dozens of the monthly fees they had previously paid by executing the contract. These penalties are primarily based on the lease agreement, and even if they are not, the value of the damages depends on the damage that the other party to the dispute is able to demonstrate to the court.<\/p>\n<p>Similarly, the value of the landlord's damages, following the landlord's unlawful termination of a fixed-term lease, can easily exceed the rent due for the months remaining on the lease. When landlords wish to terminate a fixed-term lease, they are faced with a necessity:<br \/>\na) terminate the contract in a manner consistent with the law<br \/>\nb) the tenant&#039;s belief that the lease agreement has been terminated<br \/>\nc) regaining the premises<br \/>\nd) recover it in as good a condition as possible<br \/>\ne) minimize the risk of having to pay compensation to the tenant<\/p>\n<h3>The most important moment in a tenancy: before you make the first move<\/h3>\n<p class=\"isSelectedEnd\">When it comes to matters of early termination of a rental agreement, the written notice is often not the most important part. The notice is merely the consequence of prior analysis and should be drafted based on the conclusions drawn from it.<\/p>\n<p class=\"isSelectedEnd\">The most important thing is what happens beforehand: the choice of basis, the decision on which arguments to reveal, which to save for later, whether to file a statement at all, or rather to start with a demand, a proposal for an agreement, to prepare an assignment, to secure evidence or to have a negotiation meeting.<\/p>\n<p class=\"isSelectedEnd\">A mistake made at this stage can be difficult to reverse. Speaking too quickly or issuing an ultimatum can reveal a weak foundation. Writing too aggressively can close the door to an agreement. A proposal that is too soft can show the other party that we are not prepared for a dispute. Too late a reaction can cause rent, damage, or conflict to escalate over the following months.<\/p>\n<p>Therefore, before making a decision, it is worth looking at the matter not only as a legal problem, but as a balance of power: what follows from the contract, what follows from the evidence, what the other party truly wants, and which scenario will be most profitable for each party.<\/p>\n<p>And now strictly to the point:<\/p>\n<p>The worst thing you can do is to procrastinate, or hastily act on your own. In many cases, the contract contains specific provisions regarding the possibility of early termination, or hints as to the grounds on which it will be possible to terminate. Here, however, is the first pitfall - not all of these provisions are definitely valid.<\/p>\n<p><strong>Key Steps:<\/strong><\/p>\n<ul>\n<li>Find the contract and all addenda, agreements and even sometimes - email correspondence with the landlord. Put it all together in one place.<\/li>\n<li><strong>Identify your own reasons for termination<\/strong>. Determine whether there are legitimate reasons to terminate the contract early, such as, for example, a material breach of contract by one of the parties. Try to identify whether you are potentially able to find such reasons.<\/li>\n<li><strong>Consult a lawyer or other highly experienced person in this area. <\/strong>Rent is usually paid monthly, so generally the sooner the better. How to convince the landlord or tenant to terminate the agreement early?<\/h3>\n<p>Termination of a lease agreement before its expiry may be possible if the agreement provides for such a possibility, or if both parties agree to it. In some cases, courts may also rule that early termination of the agreement was justified due to specific circumstances. However, courts rule this way very rarely, as this is not the purpose of fixed-term agreements.<\/p>\n<p>It is best to reach an agreement on the early termination of a contract. Although it may sound like a truism, in the case of lease agreements, resolving them by mutual consent is a sign of maturity, not foolishness. In our <a href=\"https:\/\/klodzinskikancelaria.pl\/en\/\" rel=\"noopener noreferrer\">Chancellery<\/a> We really have a lot of experience in bringing such stories to a happy conclusion. However, it is usually the case that we have to find good arguments first.<\/p>\n<p><strong>Basic termination options:<\/strong><\/p>\n<ul>\n<li><strong>Agreement of the parties<\/strong> - The best way to terminate a lease early is to get both parties to agree to the termination. This may involve negotiating the terms of the early termination of the lease, such as the return of the deposit, settlement of outstanding payments, etc. There is a full range of options here.<\/li>\n<li><strong>Breach of contract terms<\/strong> \u2013 You need to consider whether one of the parties is violating the terms of the contract, which sometimes gives the other party the opportunity to terminate such a contract, even if it was concluded for a fixed period.<\/li>\n<li><strong>Special circumstances<\/strong> \u2013 In certain cases, which we call extraordinary, courts may consider early termination of a lease agreement \u2013 even one concluded for a fixed period \u2013 as justified. However, this is shaky ground and you have to be very confident in your arguments. In addition, the evidence must be prepared perfectly.<\/li>\n<li><strong>Finding a new, reliable tenant in our place if we are the tenant or, if we are the landlord, another property for our tenant. <\/strong><\/li>\n<\/ul>\n<h3>3. Can a lease agreement have no notice period? What if there is no notice period in the fixed-term lease agreement?<\/h3>\n<p>It&#039;s good that there isn&#039;t - because such a provision in temporary contracts is often considered invalid. This is what the regulations say <a href=\"https:\/\/isap.sejm.gov.pl\/isap.nsf\/DocDetails.xsp?id=wdu19640160093\" rel=\"noopener noreferrer\">Civil Code<\/a>. If a fixed-term tenancy agreement does not contain provisions for a notice period dependent on specific circumstances, it is generally not possible to terminate the agreement before the expiry of the term.<\/p>\n<p>The most important exception is - that both parties agree to such a termination, or there are provisions in the contract that allow termination from certain events, or if there are exceptional, absolutely special circumstances.<\/p>\n<p><strong>Possibilities in this case:<\/strong><\/p>\n<ul>\n<li><strong>Negotiations with the landlord or tenant <\/strong> \u2013 The other party may try to negotiate an early termination of the contract. Such negotiations, if conducted between professionals, usually bring positive results.<\/li>\n<li><strong>Court termination of the contract<\/strong> \u2013 In rare, exceptional circumstances, the court may consider early termination of the contract justified.<\/li>\n<li><strong>Finding a new tenant. <\/strong>Very often, landlords are more willing to terminate the contract and, despite their initial position that it is impossible to terminate the contract, they agree to a solution that will involve them continuing to pay the rent. That is, concluding an assignment agreement under which other entities (or an entity) on the part of the tenant enter into the lease of the premises. Typically, landlords are primarily interested in renting the property and the benefits associated with it. However, at the same time, they usually make their consent conditional on whether the current tenant will be replaced by someone reliable in their leased property. This also seems completely understandable.<\/li>\n<\/ul>\n<h3>4. Termination of the lease agreement concluded for a specified period of time by the lessor. When and can the landlord terminate the lease?<\/h3>\n<p>There is a big difference here to indefinite leases, which can be terminated by the landlord almost always when they concern commercial leases - i.e. when the case concerns the termination of, for example, a commercial lease. Or almost never when the subject of an indefinite lease is a residential unit.<\/p>\n<p>The landlord may terminate a fixed-term lease agreement only in strictly defined cases that are included in the agreement or result from legal provisions. Or court decisions.<\/p>\n<p><strong>Examples of situations in which the landlord can usually terminate the contract:<\/strong><\/p>\n<ul>\n<li><strong>Breach of contract terms<\/strong> \u2013 If the tenant does not comply with the terms of the contract, such as paying rent on time, improper use of the premises, exposing it to damage, etc. For such a solution to be effective, the landlord must do it in a manner consistent with the law and the provisions of the contract. The former usually have priority.<\/li>\n<\/ul>\n<h3>5. Can a fixed-term lease agreement be terminated earlier? How<strong> break the lease agreement sooner? Can I cancel the lease agreement? <\/strong><\/h3>\n<p>Both yes and no. Termination of a fixed-term lease agreement, is usually possible in advance, but this almost always requires the fulfilment of certain conditions contained in the agreement. This is because, if the parties introduce such a possibility, they must make it conditional on the occurrence of a future event in order for such a provision to be effective.<\/p>\n<p>If, at the time of concluding the contract, the parties to the contract did not provide for such a possibility, the termination of the premises lease agreement for a fixed period usually requires the consent of both parties. Or finding an exception in the Civil Code, possibly in tenant laws or case law. Sometimes there may also be a gap in the contract. Although this sometimes seems impossible or far-fetched, an experienced lawyer usually knows how to finalise such an agreement. Read: negotiate. And what arguments to use to convince the other side. After all, he or she has very often sat on the other side of the table and thus better understands the needs and intentions of the 'opponent'. Although it is finding common interests that usually leads to a consensual termination of the lease. So often overlooked by lawyers and their clients, the ability to understand the needs of the other party and to negotiate can sometimes be far more important than all the provisions of the Civil Code.<\/li>\n<li><strong>Breach of contract terms<\/strong> \u2013 If one party violates the terms of the contract, in some cases the other party may demand its termination. However, this is again a risky activity and requires high precision. It&#039;s easy to lose such a case later. Many of such provisions have no legal force.<\/li>\n<li>Special circumstances \u2013 Courts may order early termination of the contract in special circumstances, as stipulated in the Civil Code \u2013 but courts very rarely agree to this. What is the penalty for breaking a fixed-term lease agreement?<\/h3>\n<\/li>\n<\/ul>\n<p>The penalty for breaking a fixed-term lease agreement depends on the provisions of the agreement itself. In many cases, lease agreements contain clauses regarding contractual penalties for early termination. Some of them are important, others are not - unfortunately this must be examined by a lawyer. The second most important issue is the liability for damages of the party who prematurely terminates such a fixed-term lease agreement. Terminating a fixed-term lease agreement usually costs some money.<\/p>\n<p><strong>The most common penalties for early termination of the contract are:<\/strong><\/p>\n<ul>\n<li><strong>Penalty: <\/strong>A fixed amount that the other party must pay for early termination of the contract. This may be a one-off fee that covers the landlord&#039;s losses. It is good for the party breaking the contract if the provision introducing such a contractual penalty does not contain provisions on the possibility of claiming additional compensation. This is because then we are dealing with a known cost - lump sum compensation. That is, the so-called compensation due for breaking a fixed-term lease agreement. Of course, this decision must still be valid, which is also not obvious. It is also worth remembering that even compensation for early termination of the lease can usually be negotiated.<\/li>\n<li><strong>Liability for lost rent<\/strong>: First of all, the tenant may be obliged to pay rent for the period in which the premises remain unoccupied after the tenant has moved out early. However, the landlord is of course obliged to make every effort to find a new tenant as soon as possible. However, it may not be that easy, and the premises may, for example, require renovation. It may also turn out that the only tenant found will pay a lower rent. Therefore, there have been cases in which such compensation awarded by the court was equivalent to, for example, two years&#039; rent.<\/li>\n<li><strong>Responsibility for repair costs<\/strong>If a tenant vacates the premises, leaving them in a condition other than as stipulated in the agreement or law, they may be obliged to cover the costs of repairs or refurbishment.<br \/>\n<h3>7. Can a fixed-term lease agreement be terminated by mutual consent?<\/h3>\n<p data-start=\"7515\" data-end=\"7733\">An agreement between parties does not always arise because the other side suddenly becomes benevolent. More often, it arises when the other side begins to understand that the dispute will be costly, uncertain, or organisationally burdensome for them.<\/p>\n<p data-start=\"7741\" data-end=\"8062\">This is why the ground for a good agreement often needs to be properly prepared. Sometimes the argument is a defect in the property. Sometimes it's a breach of duties by the other party. Sometimes it's finding a new tenant. Sometimes it's the risk of legal proceedings. Sometimes it's a simple economic calculation: it's better to recover some of the money and the property today than to litigate for several months.<\/p>\n<p data-start=\"8070\" data-end=\"8275\">This is where a lawyer is most useful \u2013 not as the author of a single document, but as someone who can build a rational reason for the other party to agree to end the contract.<\/p>\n<p>An agreement is almost always beneficial to both parties because it avoids conflicts and potential costs associated with court proceedings.<\/p>\n<h3>8. What happens after the end of the fixed-term lease agreement?<\/h3>\n<p>At the end of a fixed-term lease, the tenant should usually vacate the premises and return it to the landlord in the condition specified in the contract. Key post-contract activities include:<\/p>\n<p>&#8211; <strong>Delivery and acceptance protocol<\/strong>: Conducting a report that will confirm the condition of the premises at the time of its return.<\/p>\n<p>&#8211; <strong>Refund of deposit<\/strong>: The landlord should return the deposit to the tenant, provided there are no arrears or damage to the premises.<\/p>\n<p>&#8211; <strong>Settlement of all receivables<\/strong>: The tenant must settle all rent arrears and other fees owed to the landlord.<\/p>\n<p>If the contract was for a fixed period and was not extended, the tenant has no right to remain in the premises after its end. The landlord has the right to regain the premises and rent it to a new tenant. Unless it doesn&#039;t get done at all and the tenant still rents the premises. Then we can deal with the so-called a tacit extension of the lease provided for in the regulations <a href=\"https:\/\/isap.sejm.gov.pl\/isap.nsf\/DocDetails.xsp?id=wdu19640160093\">Civil Code<\/a>.<\/p>\n<h3>9. Can I terminate an apartment lease agreement for a fixed period?<\/h3>\n<p>In such a case, terminating a fixed-term lease agreement is sometimes possible, but usually requires meeting certain conditions contained in the agreement. You should carefully analyze the content of the contract to check whether it provides for the possibility of early termination of the apartment lease and under what conditions.
